1Acceptance of Terms

By creating an account, starting a free trial, clicking "I agree," or otherwise accessing or using the Services, you accept these Terms in full. If you do not agree with any part of these Terms, you must not use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, "you" refers to that entity, and you represent that you have the authority to accept these Terms on its behalf.

2Definitions

• "Account" means the registered account through which you access the Services.
• "Customer Data" means any data, files, or records you or your authorised users upload, submit, or connect to the Services, including clinical trial, pharmaceutical, medical device, and cosmetic regulatory data.
• "Subscription" means a paid plan granting access to the Services for an agreed term.
• "Authorised User" means an individual you permit to access your Account, such as an employee or contractor.
• "Order Form" means any separate ordering document, quote, or online checkout confirming the plan, fees, and term you have purchased.

3Description of Services

Vasl AI is a software-as-a-service platform for teams working with clinical trial, pharmaceutical, medical device, and cosmetic regulatory data. It helps you clean, structure, and analyse that data using AI-assisted tools, so your team can go from raw records to usable insight faster. The Services are meant to support, not replace, the professional judgement of qualified clinical, regulatory, quality, and data management staff.

Vasl AI is a data processing and analytics tool. It is not a medical device and does not provide medical, clinical, or regulatory advice. Customer is solely responsible for reviewing, validating, and approving all AI-generated outputs before using them in any operational, clinical, regulatory, commercial, or business decision. Our outputs are decision-support aids, not a substitute for the judgement of qualified clinical, regulatory, or data management professionals.

We may enhance, modify, replace, or discontinue features as part of the ongoing development of the Services. We will use reasonable efforts to notify Customers of material changes that significantly reduce core functionality of a paid Subscription.

4Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business use by organisations working in clinical research, pharmaceutical, medical device, or cosmetic development and regulatory affairs, not for personal or consumer use.

You are responsible for:

• Providing accurate, current registration information.
• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your Account, including actions by your Authorised Users.
• Notifying us promptly at sales@vaslai.com of any suspected unauthorised access.

5Free Trial

We may offer a free trial period (for example, 30 days) to allow you to evaluate the Services. No payment card is required to start a trial unless stated otherwise at sign-up.

Trials are provided "as is" and may have reduced functionality, data limits, or support compared to a paid Subscription. We may end or modify a trial, or the trial program generally, at any time without liability, to the extent permitted by law. If you choose to continue using the Services after your trial ends, you will need to select a paid Subscription plan.

6Beta Features

From time to time we may make experimental or pre-release features, models, or tools available to some or all Customers, labelled as "beta," "preview," "early access," or similar ("Beta Features").

Beta Features are provided "as is" and on an "as available" basis, for evaluation purposes only. They may be changed, limited, or discontinued at any time without notice, may contain bugs or inaccuracies, and are excluded from any uptime commitments, support obligations, and warranties that otherwise apply to the Services. We may collect usage data and feedback from Beta Features to improve them or other parts of the Services. You should not rely on Beta Features for production, clinical, or regulatory workflows.

7Fees, Billing & Payment

Subscription fees are set out in your Order Form or the pricing plan you select at checkout. Unless stated otherwise:

• Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law or expressly stated in your Order Form.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
• Fees are exclusive of VAT and other applicable taxes, which will be added where required.
• Late or failed payments may result in suspension of access to the Services after reasonable notice.

We may change our pricing for future billing cycles by giving you at least 30 days' notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.

Cancellation

You may cancel your Subscription at any time from your account settings or by emailing sales@vaslai.com. Cancellation stops future renewals but does not trigger a refund for the current billing period. You will retain access to the Services for the remainder of the billing period you have already paid for, after which your Account will revert to a free or inactive tier, or be closed, as applicable.

8Customer Data & Data Protection

Ownership. As between you and Vasl AI, you own all Customer Data. We do not claim ownership over the data, files, or records you upload. You grant us a limited licence to host, process, and analyse Customer Data solely to provide, maintain, and improve the Services, and as otherwise instructed by you.

Your responsibilities. You are responsible for ensuring that you have the necessary rights, consents, and legal basis to upload and process Customer Data through the Services, including any patient-level or personal data. You agree not to upload data you are not authorised to share, and to de-identify or pseudonymise data where required by applicable law before uploading it, unless a separate written agreement with us specifically addresses identifiable data processing.

Data protection. Where we process personal data on your behalf as part of the Services, we do so in accordance with applicable data protection law, including the UK GDPR and the Data Protection Act 2018. Where required, the terms of our Data Processing Addendum ("DPA") are incorporated into these Terms by reference and will govern in the event of a conflict regarding the processing of personal data. Data deletion. Upon termination of your Subscription, we will delete or anonymise Customer Data within a commercially reasonable period, except where retention is required by law or for legitimate backup purposes, consistent with our data retention practices.

9Acceptable Use

You agree not to, and not to permit any Authorised User to:

• Use the Services for any unlawful purpose or in violation of any applicable regulation, including clinical research, pharmaceutical, medical device, cosmetic, and data protection regulations.
• Upload data that infringes third-party rights or that you lack the legal right to share.
• Attempt to reverse-engineer, decompile, or access the source code of the Services except as permitted by law.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Services, related systems, or other customers' data.
• Introduce malware, viruses, or other harmful code, or attempt to probe, scan, or test the vulnerability of the Services.
• Use the Services to build a competing product or service.
• Use automated means to scrape or extract data from the Services beyond what our documented APIs permit, or make excessive API calls that degrade Service performance for other Customers.

AI-specific use restrictions

In addition to the above, you agree not to:

• Use AI-generated outputs to mislead regulators, auditors, investors, or other third parties.
• Represent that AI-generated output has been human-reviewed, verified, or approved when it has not.
• Use the Services to generate deceptive, unlawful, defamatory, or discriminatory content.
• Attempt prompt injection, prompt extraction, model inversion, or other techniques designed to extract our underlying models, prompts, or training data, or to bypass safety and usage limits built into the Services.

We may suspend or restrict access to an Account reasonably believed to be in breach of this section, for example in cases of suspected abuse, security threats, malicious code, non-payment, or excessive API use that risks the stability of the Services. We will provide notice where practicable and restore access once the issue is resolved.

10Export Control & Sanctions

The Services may be subject to UK, EU, and US export control and economic sanctions laws. By using the Services, you represent that you are not located in, and will not access or use the Services from, any country or region subject to comprehensive UK, EU, or US sanctions, and that you are not listed on any applicable restricted-party, denied-persons, or sanctions list.

You agree to comply with all applicable export control and sanctions laws in connection with your use of the Services, and not to permit any Authorised User to access the Services in violation of such laws. We may suspend or terminate access where required to comply with these laws.

11Intellectual Property

Vasl AI and its licensors retain all right, title, and interest in and to the Services, including the underlying software, models, algorithms, design, and documentation. Nothing in these Terms transfers any such rights to you, except the limited right to access and use the Services as set out here.

Any feedback, suggestions, or ideas you provide about the Services may be used by us to improve our products without obligation or compensation to you.

12Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own similar information, and no less than a reasonable standard of care. Confidential information may only be used to perform obligations under these Terms and may not be disclosed to third parties, except to employees, contractors, or advisors who need to know it and are bound by similar confidentiality obligations, or as required by law.

13Third-Party Services

The Services may integrate with or allow connections to third-party tools, data sources, or platforms. We do not control and are not responsible for the availability, content, or practices of third-party services. Your use of any third-party service is governed by that provider's own terms and privacy policy.

14Availability & Support

We aim to keep the Services available and performant, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, or circumstances beyond our reasonable control may result in temporary downtime. Specific uptime commitments, if any, will only apply where set out in a separate written Service Level Agreement signed by both parties.

Support is provided by email at sales@vaslai.com during standard UK business hours, unless a different support tier is specified in your Order Form.

15Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be error-free, that outputs (including AI-generated analysis) will be complete or accurate for your specific purposes, or that the Services will meet all your requirements. Customer is solely responsible for reviewing, validating, and approving all AI-generated outputs before using them in any operational, clinical, regulatory, commercial, or business decision. Vasl AI accepts no liability for decisions made in reliance on unreviewed or unvalidated AI-generated output.

16Limitation of Liability

Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.

Subject to the above, to the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill; and (b) each party's total aggregate liability arising out of or related to these Terms will not exceed the total fees paid or payable by you to Vasl AI in the 12 months preceding the event giving rise to the claim.

17Indemnification

You agree to indemnify and hold Vasl AI harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) Customer Data that infringes third-party rights or violates applicable law; or (c) your misuse of the Services. We will notify you promptly of any such claim and allow you to control the defence, subject to our reasonable cooperation.

18Term & Termination

These Terms remain in effect for as long as you have an active Account or Subscription. Either party may terminate for convenience by providing notice as specified in your Order Form, or immediately if the other party materially breaches these Terms and fails to remedy the breach within 30 days of written notice.

We may suspend or terminate your Account immediately if required to comply with applicable law, to prevent harm to the Services or other users, or in the event of non-payment. Upon termination, your right to access the Services will cease, and outstanding fees will become immediately due.

19Governing Law & Disputes

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Before initiating formal proceedings, both parties agree to first attempt to resolve any dispute in good faith through direct negotiation between authorised representatives.

20Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, legal requirements, or our business practices. If we make material changes, we will notify you by email or through the Services at least 14 days before the changes take effect. Continued use of the Services after that date constitutes acceptance of the updated Terms. The "Last Updated" date at the top of this page reflects the most recent revision.

21General Provisions

Entire agreement

These Terms, together with any applicable Order Form, DPA, and Privacy Policy, constitute the entire agreement between you and Vasl AI regarding the Services and supersede any prior agreements on the subject.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, internet or utility failures, or acts of government.

No waiver

A failure to enforce any provision of these Terms will not be considered a waiver of our right to enforce that or any other provision later.
